Terms of Service

Loopd writes to a provider's live roster. A wrong shift in this sector is a care incident, not a software bug, so the liability and responsibility clauses below are the ones that actually matter and are exactly the ones a template will get wrong.

1. Who these terms are between

These terms are between [Legal entity name], ABN [ABN] ("Loopd", "we", "us") and the organisation that subscribes to Loopd ("you"). If a signed agreement exists between us, that agreement prevails over these terms wherever they conflict.

2. What Loopd does

Loopd automates rostering and coordination admin. It reads the roster from the rostering system you already run, sends rosters to your clients for confirmation, follows up the ones that do not come back, applies requested changes to shifts, asks the affected support worker to confirm, and keeps a record of what was sent and agreed. A console gives your nominated staff one screen for anything needing a person.

3. What you are responsible for

Read this section properly. It is the one that matters in practice.

4. Roster changes and human confirmation

Loopd stages a requested roster change and asks the support worker rostered on the shift to confirm it by text. The change is not published until they do. Practice mode, where nothing is sent, is on by default so you can watch it work before it acts.

You control whether Loopd sends and writes at all, and you can stop it. A manager can pause sending at any time.

5. Your data

Your data stays yours. We use it only to provide the service and as described in our Privacy Policy. We do not sell it and do not use it to train machine learning models. On request after termination we will return or delete it, other than what we must keep by law.

6. Fees

[Set out your pricing model, billing period, payment terms, what happens on late payment, and how and when prices may change. This clause cannot be drafted without your commercial decisions.]

7. Availability

We aim to keep Loopd available at all times but do not promise uninterrupted service. We will give reasonable notice of planned maintenance where we can. [If you intend to offer an uptime commitment or service credits, state them here. Do not commit to a number you cannot measure.]

Loopd depends on services outside our control, including your rostering system's API, your messaging provider and the mobile networks. Where one of those fails or changes, Loopd may be interrupted through no fault of ours.

8. Third party systems

Connecting your rostering system means authorising us to read and write to it on your behalf. You are responsible for your own agreement with that provider. We are not responsible for their acts, their downtime or changes they make to their API.

9. Confidentiality

Each of us will keep the other's confidential information confidential and use it only for the purposes of this agreement. This survives termination.

10. Intellectual property

We own Loopd, including the software, its design and any improvements we make. Nothing here transfers that to you. You get a non-exclusive, non-transferable right to use it while your subscription is current.

11. Liability

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where we are permitted to limit our liability, we do.

[Your lawyer must draft the limitation and the cap. Given Loopd writes to a live care roster, a generic "limited to fees paid in the last 12 months" clause may not be appropriate or enforceable in this sector, and you should discuss professional indemnity and cyber cover at the same time.]

12. Term and termination

Either of us may terminate on [notice period] written notice. We may suspend the service immediately if required by law, or if continuing would create a serious risk to a person receiving supports. On termination your right to use Loopd ends and clause 5 governs your data.

13. Changes to these terms

We may update these terms. If a change is material we will notify you directly and give you [notice period] before it takes effect.

14. Governing law

These terms are governed by the laws of [State or Territory], Australia, and each of us submits to the non-exclusive jurisdiction of its courts.
